1. Introduction
These Terms of Business (“Terms”) govern the provision of advisory services by JADAI (“we”, “our” or “us”) to our clients (“you” or “your”).
By purchasing or subscribing to any JADAI service, you confirm that you have read, understood and agree to these Terms.
These Terms apply to all services provided by JADAI unless otherwise agreed in writing.
They should be read alongside our Privacy Policy, Website Terms of Use, Website Disclaimer and any other policies published on our website.

2. About JADAI
JADAI is an independent Business Advisory practice providing professional advisory services to businesses throughout the United Kingdom.
Our purpose is to help businesses make better business decisions through independent advice, practical recommendations and objective business insight.
Our services may include advice relating to business improvement, productivity, governance, Technology, including Artificial Intelligence (AI), but every recommendation begins with understanding your business rather than promoting a particular technology or solution.
Unless otherwise agreed in writing, all services are delivered remotely.

3. Our Services
JADAI currently provides the following core services:
• Business Health Check
• Advisory Membership

Each service has its own scope, deliverables, pricing and timescales as described on our website or within any written proposal.
Nothing in these Terms obliges JADAI to provide services outside the agreed scope unless both parties agree in writing.

4. Independent Advice
Independence is one of JADAI’s core principles.
We do not:
• sell software;
• act as software resellers;
• receive referral commissions;
• recommend suppliers because of commercial relationships;
• provide IT support;
• implement business systems;
• manage implementation projects; or
• accept incentives that could compromise our independence.
Every recommendation is made solely in the interests of your business.
Where appropriate, we may recommend that you seek specialist advice from accountants, solicitors, IT providers or other professional advisers.
Any such recommendation is made because we believe it is in your best interests and not because of any commercial relationship.

Professional Independence
Our independence means we may recommend that no action is taken where we believe this is in your best interests. We will never recommend technology, additional services or further work unless we genuinely believe it will provide value to your organisation.

5. Scope of Services
Each published service includes a clearly defined:
• scope;
• deliverables;
• price; and
• expected delivery timeframe.
Our Business Health Check is a fixed-scope advisory service that provides an independent assessment of your business together with practical recommendations and a personalised 90-Day Improvement Plan.
Advisory Membership provides ongoing access to independent business advice throughout your subscription period and includes the services described on our website at the time of purchase.
Any work requested outside the agreed scope may require a separate quotation, revised proposal or additional fee.
We will always discuss this with you before undertaking any additional work.

6. Client Responsibilities
To enable us to provide effective advice, you agree to:
• provide accurate and complete information;
• complete questionnaires honestly and to the best of your knowledge;
• provide requested information within a reasonable timeframe;
• notify us of any material changes that may affect our advice;
• ensure you have authority to provide any information submitted to us; and
• review our recommendations within the context of your own business before making decisions.
Our advice depends upon the accuracy and completeness of the information you choose to provide.
We will not normally verify information independently unless this has been expressly agreed as part of the engagement.
You remain responsible for all business decisions made by your organisation, including any decision to implement, delay or disregard our recommendations.

7. Delivery of Services
Unless otherwise agreed in writing, all JADAI services are delivered remotely.
Depending on the service purchased, delivery may include:
• structured online questionnaires;
• email correspondence;
• online advisory meetings;
• telephone discussions;
• review of supporting documentation (where provided);
• professionally prepared reports; and
• ongoing advisory support.
Delivery timeframes commence once we have received:
• payment in full (where applicable);
• a completed questionnaire (where required); and
• any supporting information you choose to provide.
If additional clarification or information is required during the engagement, delivery times may be extended accordingly. Where this happens, we’ll keep you informed of any revised timescales.

8. Business Health Check
The Business Health Check is a fixed-price advisory service designed to provide an independent review of your business.
Our review is based on the information you provide together with our professional judgement and experience.
Following completion of the review, you’ll receive a professionally prepared Business Health Review, which may include:
• an overview of your business;
• key findings;
• areas of strength;
• opportunities for improvement;
• Technology, including Artificial Intelligence observations (where appropriate);
• prioritised recommendations; and
• a personalised improvement plan.
The Business Health Check is intended to support informed decision-making.
It should not be interpreted as a guarantee of future business performance or as a substitute for legal, financial, tax or other specialist professional advice where such advice is required.

9. Advisory Membership
Advisory Membership provides ongoing access to independent business advice over the agreed membership period.
Membership is intended to support better decision-making as your business evolves and may include, depending on your membership level:
• scheduled online advisory meetings;
• business improvement discussions;
• strategic planning support;
• Technology, including Artificial Intelligence advice;
• supplier and proposal reviews;
• accountability discussions;
• email support;
• telephone support; and
• other advisory services included within your chosen membership.
Membership is an advisory relationship rather than a consultancy project.
The nature, frequency and duration of support will depend on the membership plan you have purchased.
Unless expressly stated otherwise:
• membership benefits apply only while your subscription remains active;
• unused meetings or advisory time do not roll forward into future subscription periods;
• membership benefits are not transferable; and
• support is provided during normal business hours unless otherwise agreed.
From time to time we may make reasonable improvements to our membership offering.
Any changes will not reduce services that have already been paid for during your current subscription period.

10. Technology, including Artificial Intelligence
Technology should support your business rather than become the objective.
Where appropriate, we may assess opportunities involving technology or Artificial Intelligence (AI) as part of our advisory services.
Any recommendations relating to technology or AI are based upon:
• your business objectives;
• operational requirements;
• governance considerations;
• commercial practicality; and
• our independent professional judgement.
We do not recommend technology because it is new, fashionable or commercially advantageous to us.
Equally, we may recommend that no investment is made where we believe existing processes or alternative improvements are likely to deliver greater business value.

11. Professional Judgement and No Guarantee of Results
Every recommendation provided by JADAI represents our independent professional opinion based on:
• the information available at the time of the engagement;
• our experience and judgement; and
• the agreed scope of the service.
Business performance depends on many factors beyond our control, including leadership, implementation, market conditions, economic circumstances and organisational capability.
For this reason, we cannot guarantee that following our recommendations will produce any specific business outcome.
You remain responsible for evaluating our advice and deciding whether, when and how any recommendation should be implemented.

12. Fees and Payment
Unless otherwise stated, all prices published by JADAI are exclusive of VAT.
VAT will be added where applicable at the prevailing rate.
Payment is required in advance unless alternative arrangements have been agreed in writing.
For fixed-price services, work will normally begin only after:
• payment has been received in full;
• any required onboarding information has been completed; and
• we have accepted the engagement.
For Advisory Membership, subscription fees are payable in accordance with the membership plan selected at the time of purchase.
Failure to make payment may result in:
• delayed commencement of services;
• suspension of ongoing membership benefits; or
• cancellation of the engagement until payment has been received.
Accepted payment methods are those published on our website or otherwise agreed with you in writing.

13. Cancellations and Refunds
You may request to cancel a service at any time before work has commenced.
For the purposes of these Terms, work is considered to have commenced when we begin preparing or delivering the agreed service. This may include:
• reviewing completed questionnaires;
• analysing information or supporting documentation;
• undertaking research or business review activities;
• preparing recommendations or reports;
• scheduling advisory meetings; or
• commencing Advisory Membership services.
Where work has not commenced, refunds will normally be provided in accordance with our Refunds & Cancellations Policy.
Once work has commenced, refunds will not normally be available because professional time and resources have already been allocated to your engagement.
Nothing in these Terms affects any statutory rights that may apply.

14. Confidentiality
Confidentiality is one of JADAI’s core professional standards.
We treat all information provided by our clients as confidential and use it solely for the purpose of delivering the agreed advisory services.
We will not disclose confidential information except:
• with your permission;
• where required by law;
• where disclosure is necessary to protect our legal rights; or
• where trusted professional service providers assist us in delivering our services under appropriate confidentiality obligations.
Where requested, we’re happy to enter into a suitable Non-Disclosure Agreement (NDA) before work begins.

15. Data Protection
We process personal information in accordance with:
• the UK General Data Protection Regulation (UK GDPR);
• the Data Protection Act 2018; and
• other applicable UK data protection legislation.
Further information about how we collect, use, store and protect personal information is available in our Privacy Policy.
By engaging our services, you confirm that any personal information you provide has been obtained lawfully and that you have the necessary authority to share it with us where required.

16. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights in JADAI’s:
• assessment methodologies;
• advisory frameworks;
• reports;
• templates;
• documents;
• processes;
• written recommendations;
• website content; and
• original materials
remain the property of JADAI.
Upon payment in full, you are granted a non-exclusive, non-transferable licence to use the reports and written materials we provide for your own internal business purposes.
Unless we have provided prior written permission, our materials must not be:
• sold;
• republished;
• licensed to third parties;
• commercially distributed;
• substantially reproduced; or
• presented as the work of another individual or organisation.
Nothing in these Terms transfers ownership of JADAI’s intellectual property to the client.

17. Limitation of Liability
To the fullest extent permitted by law, JADAI’s total liability arising from any engagement shall not exceed the total fees paid by the client for the relevant service.
JADAI shall not be liable for any:
• indirect loss;
• consequential loss;
• loss of profit;
• loss of revenue;
• loss of business opportunity;
• reputational damage;
• business interruption; or
• decisions made by the client following receipt of our advice or recommendations.
Our services are intended to support informed business decision-making.
Responsibility for all business decisions, investments, implementation activities and their outcomes remains entirely with the client.
Nothing in these Terms excludes or limits liability where such exclusion would be unlawful.

18. Force Majeure
JADAI shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.
These circumstances may include, but are not limited to:
• natural disasters;
• severe weather;
• fire or flood;
• cyber incidents;
• utility failures;
• telecommunications failures;
• industrial disputes;
• illness;
• government action; or
• other events outside our reasonable control.
Where reasonably practicable, we’ll notify you of any significant delays and work with you to agree revised delivery arrangements.

19. Changes to These Terms
We may update these Terms of Business from time to time to reflect changes in:
• our services;
• business practices;
• applicable legislation;
• regulatory requirements; or
• operational improvements.
The latest version will always be published on our website.
Any revised Terms will apply to new engagements entered into after the date of publication.
Where you have already engaged JADAI to provide a service, the Terms that were in force when your order was accepted will continue to apply for the duration of that engagement unless we both agree otherwise in writing.

20. Governing Law
These Terms of Business, together with any dispute or claim arising from them or relating to the services provided by JADAI, shall be governed by and interpreted in accordance with the laws of England and Wales.
Both parties agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms or from the provision of our services, except where applicable law provides otherwise.

21. Severability
If any provision of these Terms is found by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be treated as severed from the remaining Terms.
The remaining provisions shall continue in full force and effect.

22. Entire Agreement
These Terms, together with any written proposal, quotation, service description and the policies published on our website, constitute the entire agreement between JADAI and the client in relation to the services provided.

1. Introduction
This Refunds & Cancellations Policy explains how cancellations and refunds are handled for services provided by JADAI.
We aim to be fair, transparent and reasonable while recognising that our services involve the allocation of professional time, preparation and expertise.
This policy should be read alongside our Terms of Business.

2. Our Services
This policy applies to all services provided by JADAI, including:
• Business Health Check;
• Advisory Membership; and
• any other advisory services agreed in writing.
Different cancellation and refund arrangements may apply depending on the type of service purchased.

3. Business Health Check
The Business Health Check is a fixed-price professional advisory service.
Once purchased, we’ll begin preparing for your engagement, which may include:
• reviewing onboarding information;
• assessing completed questionnaires;
• reviewing supporting documentation;
• undertaking business analysis;
• preparing recommendations; and
• producing your Business Health Review.
Because professional work often begins before the final report is delivered, refunds depend on how far the engagement has progressed.
Before Work Has Commenced
If you cancel before we have started work on your Business Health Check, you’ll normally receive a full refund.
After Work Has Commenced
Once work has commenced, refunds will not normally be available because professional time and expertise have already been committed to your engagement.
In exceptional circumstances, we may offer a partial refund at our sole discretion where only a limited amount of work has been completed.

4. Advisory Membership
You may cancel your Advisory Membership at any time.
Cancellation will prevent future subscription renewals but will not normally result in a refund for the current billing period.
Your membership benefits will remain available until the end of the period already paid for unless otherwise stated.
No refunds are normally provided for:
• partially used subscription periods;
• unused meetings;
• unused advisory support; or
• unused membership benefits.

5. Meetings and Appointments
If you need to rearrange a scheduled meeting, we ask that you provide as much notice as reasonably possible.
Where reasonable notice is given, we’ll make every effort to agree an alternative time.
Repeated missed appointments or cancellations without reasonable notice may result in the meeting being treated as delivered.

6. Delays in Providing Information
Our services rely on receiving timely information from you.
Where questionnaires, documents or requested information are significantly delayed, delivery times may be extended accordingly.
If an engagement remains inactive for an extended period, we reserve the right to close the engagement.
Where substantial work has already been completed, refunds will not normally be available.

7. Cancellation by JADAI
We reserve the right to decline, postpone or cancel an engagement where:
• we identify a conflict of interest;
• required information is not provided;
• abusive or inappropriate behaviour occurs;
• payment has not been received;
• continuing the engagement would be unlawful; or
• circumstances beyond our reasonable control prevent us from delivering the service.
Where JADAI cancels an engagement before work has commenced, any fees paid will normally be refunded in full.
Where work has already commenced, any refund will reflect the work completed at the time of cancellation.

8. Consumer Rights
Nothing in this policy limits or excludes any statutory rights you may have under applicable consumer protection legislation.
Where those rights apply, they will take precedence over this policy.

9. Changes to This Policy
We may update this Refunds & Cancellations Policy from time to time.
The latest version will always be published on our website and will apply to new purchases made after its publication.
